1.Acceptance of Terms

By accessing or using the FrozenB2B website (www.frozenb2b.com) or any of our services, including submitting a Buyer RFQ or Supplier Application, you (“User”) agree to be bound by these Terms of Service (“Terms”).

If you are using the platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, please do not use the platform.

2.Description of Service

FrozenB2B is a B2B trade matching platform for the global frozen food industry. Our services include:

• Trade Desk Matching: Reviewing buyer RFQs and matching them with verified suppliers from our network based on product type, volume, geography, and trade terms.
• Supplier Network: Vetting and onboarding certified frozen food exporters and manufacturers.
• Market Intelligence: Publishing trade news and industry insights relevant to the frozen food sector.

FrozenB2B acts as an intermediary. We facilitate introductions between buyers and suppliers but are not a party to any trade transaction that may result from our matching services. All commercial terms, contracts, and payment arrangements are negotiated directly between buyers and suppliers.

3.Eligibility & Registration

Our services are intended for business-to-business use. By submitting an RFQ or supplier application, you represent and warrant that:

• You are at least 18 years of age and legally capable of entering into binding contracts.
• You are acting on behalf of a legitimate registered business entity.
• All information you provide is accurate, current, and complete.
• You are engaged in or seeking to engage in bona fide commercial trade in frozen food products.
• Your use of the platform does not violate any applicable laws or regulations.

4.Buyer Terms

When submitting a Buyer RFQ, you agree that:

• Your buying requirement is genuine and you have the intent and commercial capability to purchase.
• The quantities, specifications, and trade terms you provide are realistic and in good faith.
• You will respond in a timely manner to supplier introductions made by our trade desk.
• You will not misrepresent your purchasing capacity, certifications, or business standing.
• You will negotiate directly and honestly with any supplier to whom you are introduced.
• FrozenB2B is not responsible for the quality, safety, or compliance of products offered by any supplier.

5.Supplier Terms

When submitting a Supplier Application, you agree that:

• All information regarding your company, production capacity, certifications, and export capability is accurate and verifiable.
• You hold all necessary licences, certifications (e.g., HACCP, ISO, Halal, Kosher where stated), and regulatory approvals.
• Your products comply with all applicable food safety, labelling, and import regulations in target markets.
• You will respond promptly to buyer introductions and honour quoted pricing and trade terms in good faith.
• You will not use buyer contact information obtained through FrozenB2B for any purpose other than the specific trade enquiry.
• You will maintain the accuracy of your profile information and notify us of material changes.

6.Prohibited Conduct

You agree not to:

• Submit false, misleading, or fraudulent information.
• Use the platform for any unlawful purpose or in violation of any applicable trade sanctions or export controls.
• Attempt to circumvent our platform by directly contacting parties identified through our matching service in order to avoid our service terms.
• Harvest, scrape, or systematically collect data from our website.
• Interfere with or disrupt the operation of the platform or its infrastructure.
• Transmit spam, unsolicited communications, or malicious content.
• Impersonate any person or entity or misrepresent your affiliation.
• Trade in products that violate applicable laws, sanctions, or embargoes.

Violation of these prohibitions may result in immediate termination of your access and may be reported to relevant authorities.

7.Intellectual Property

All content on the FrozenB2B website — including text, graphics, logos, icons, images, and software — is the property of FrozenB2B or its content suppliers and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the website for its intended commercial purpose. You may not reproduce, distribute, modify, or create derivative works without our express written consent.

By submitting an RFQ or supplier application, you grant FrozenB2B a non-exclusive, royalty-free licence to use the submitted information to perform our matching services.

8.Disclaimer of Warranties

The FrozenB2B platform and services are provided “as is” and “as available” without warranties of any kind, express or implied.

• We do not warrant that the service will be uninterrupted, error-free, or free of viruses or harmful components.
• We do not verify the identity, creditworthiness, or reliability of any buyer or supplier.
• We do not guarantee that any introduction will result in a completed transaction.
• We do not warrant the accuracy, completeness, or currency of any information on the platform.

Any reliance you place on information from our platform is at your own risk.

9.Limitation of Liability

To the fullest extent permitted by applicable law, FrozenB2B shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, business opportunity, or goodwill.
• Losses arising from transactions entered into between buyers and suppliers introduced through our platform.
• Losses arising from reliance on information provided by third parties.
• Service interruptions, technical failures, or security breaches beyond our reasonable control.

Our total aggregate liability for any claim arising out of these Terms shall not exceed the greater of €100 or the amount paid by you (if any) for the specific service giving rise to the claim in the 12 months prior to the claim.

10.Indemnification

You agree to indemnify, defend, and hold harmless FrozenB2B and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the platform or services.
• Your violation of these Terms.
• Any trade transaction you enter into as a result of our matching services.
• Any false or misleading information you submit to us.

11.Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Israel, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the competent courts of Tel Aviv, Israel, which shall have exclusive jurisdiction.

Nothing in this clause shall prevent either party from seeking urgent injunctive relief from any competent court.

12.Changes & Termination

We reserve the right to modify these Terms at any time. Material changes will be indicated by an updated “Last updated” date. Your continued use of the platform following notification of changes constitutes acceptance of the new Terms.

We may suspend or terminate your access to our services at any time if you breach these Terms, engage in fraudulent activity, or for operational reasons, with or without notice.
